Marketing Strategy and Consulting
The specific services provided will be outlined in a separate service agreement ("Service Agreement") between you and TrustLeadz.
3. Client Responsibilities
You are responsible for providing accurate and complete information to TrustLeadz for the performance of the Services.
You are responsible for approving all creative materials, strategies, and campaigns before they are launched.
You are responsible for obtaining all necessary permissions and licenses for any content or materials you provide to TrustLeadz to use in connection with the Services.
You agree to cooperate with TrustLeadz in all aspects of the Services and provide timely feedback.
4. Term and Termination
The term of these Terms will commence on the date you first access the Service and will continue until terminated in accordance with this Section 4.
These Terms may be terminated by either party upon written notice to the other party.
TrustLeadz may also terminate these Terms or your access to the Service for cause, including but not limited to:
Your breach of these Terms or the Service Agreement
Your non-payment of fees
Your violation of applicable laws or regulations
5. Fees and Payment
The fees for the Services will be outlined in the Service Agreement. Payment will be made on a monthly basis via automatic debit from your chosen payment method.
A 10-day grace period will be applied after a failed automatic debit attempt.
If payment is not received after the 10-day grace period, your services will be terminated.
You are responsible for all taxes and other charges associated with your use of the Service.
6. Intellectual Property
TrustLeadz retains all ownership rights to its intellectual property, including but not limited to its trademarks, copyrights, and patents.
You retain ownership of your intellectual property, including but not limited to your trademarks, copyrights, and patents.
The Service Agreement may specify additional terms regarding ownership and use of intellectual property created by TrustLeadz for you.
7. Confidentiality
Both parties agree to keep confidential all non-public information disclosed by the other party in connection with the Services.
Certain information may be excluded from the confidentiality obligation, such as information that is already publicly known or independently developed.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. TrustLeadz disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
TrustLeadz does not guarantee the results of the Services.
9. Limitation of Liability
To the maximum extent permitted by law, TrustLeadz shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to these Terms or the Service.
10. Indemnification
You agree to indemnify, defend, and hold harmless TrustLeadz, its officers, directors, employees, agents, and licensors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of or related to your use of the Service or your breach of these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.
12. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The decision of the arbitrator shall be final and binding on both parties.
